Terms of Service.

Introduction.

Welcome to FireDesign.ai ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the FireDesign.ai website, products, and services (collectively, the "Service"). FireDesign.ai is a product of AI Fire Protection Design LLC. By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Eligibility & Account.

You must be at least 18 years old and capable of entering into a legally binding agreement to use FireDesign.ai. When you create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

Use of the Service.

FireDesign.ai provides automated fire protection design tools, including CAD analysis, sprinkler layout, pipe routing, and code-compliance checks. The Service is intended to assist licensed professionals; designs produced by the Service are not a substitute for review, certification, or approval by a qualified, licensed engineer where required by applicable law or jurisdiction. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time.

Subscriptions & Payments.

Access to certain features requires a paid subscription. The Service is offered through subscription tiers and optional add-ons described at the time of purchase or sign-up. The subscription fee for each tier listed below, other than Enterprise, is a recurring monthly fee for access to the Service. Each tier has specified allowances and limits (for example, authorized user seats, the number of design runs or estimates that may run at the same time, included estimates, included features, and included disciplines). The subscription tiers currently offered are:

• (a) Estimation, which includes a monthly allowance of estimates, does not include design runs, and permits the number of authorized users described at the time of purchase;
• (b) Flex, which provides design runs charged by AI usage as described in the Usage Charges section below, permits one (1) authorized user, and does not include estimates;
• (c) Pro, which provides design runs charged by AI usage as described in the Usage Charges section below and permits up to five (5) authorized users, including the account administrator. Pro does not include estimates unless you add the optional estimates add-on, which carries an additional monthly fee and includes a monthly allowance of estimates; and
• (d) Enterprise, which is offered on custom fees, allowances, limits, and usage rates agreed in writing between you and FireDesign.ai (for example, in a mutually-signed order form).

Subscriptions on earlier tiers are governed by the Earlier Subscriptions section below.

You agree to pay all fees associated with your subscription, including recurring subscription fees, Usage Charges (as defined in the Usage Charges section below), add-on fees, overage charges, and applicable taxes. All fees are quoted and payable in United States Dollars (USD) unless otherwise stated. Recurring subscription fees and add-on fees are billed in advance for each billing period. Usage Charges are billed in arrears: usage during a billing period is charged on your next invoice. Fees are charged via the payment method you authorize, through FireDesign.ai's third-party payment processor, at the frequency indicated for your subscription (for example, monthly for standard tiers, or on invoice with Net 15 terms for Enterprise subscriptions). You authorize FireDesign.ai and its payment processor to charge your payment method for all amounts due.

To use the Service on a free trial or without a paid subscription, you must keep a valid payment card on file. Your card won't be charged unless you upgrade to a paid plan.

The subscription fees for the tiers other than Enterprise are published on our website, and your tier's usage rate is shown in the Service as described in the Usage Charges section below. Fees and usage rates may change from time to time. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Usage Charges.

On Flex and Pro, and on Enterprise where agreed in writing, the artificial-intelligence processing that the Service performs for you ("AI usage"), as measured by the Service, is charged in addition to the recurring subscription fee at your tier's usage rate ("Usage Charges"). Usage Charges apply only to:

• (a) a design run, when it delivers a design;
• (b) a revision of a design run, when it delivers a revised design; and
• (c) a chat message about a design run, when the Service answers it.

Revisions and chat messages are charged at the same usage rate as design runs, except that design runs and revisions under some design standards (for example, NFPA 13, compared with NFPA 13D or NFPA 13R) are charged at a higher rate. Each design run and each revision has a maximum charge and is never charged more than that maximum. Your tier's usage rate and the most a design run or a revision can cost are shown in the Service before you purchase. Usage Charges are billed as described in the Subscriptions & Payments section above.

Design runs and revisions are charged only when they deliver a design. A design run or revision that does not deliver a design (for example, because it fails, is refused, or is cancelled) is not charged, and a chat message that the Service does not answer is not charged. Estimates themselves are not subject to Usage Charges and instead draw on the estimate allowance of your subscription; a chat message about an estimate is not charged.

Refunds.

Except as expressly set forth in these Terms or in a separately executed written agreement, fees are non-refundable. A design run or revision that does not deliver a design, and a chat message that the Service does not answer, are not charged under the Usage Charges section above, so no fee arises for them; if one is charged in error, FireDesign.ai will reverse, refund, or credit that charge. FireDesign.ai may, in its sole discretion, offer refunds or credits in connection with specific circumstances (for example, a verified Service defect that cannot be remedied) on a case-by-case basis.

Changing Subscription Tiers.

You may move between the Estimation, Flex, and Pro tiers in the Service. A move to a higher tier (from Estimation to Flex or Pro, or from Flex to Pro) takes effect immediately, with a prorated charge for the rest of the current billing period. A move to a lower tier (from Pro to Flex or Estimation, or from Flex to Estimation) takes effect at the end of the current billing period, and your current tier continues until then. The estimates add-on takes effect when you add it, with a prorated charge for the rest of the current billing period, and ends at the end of the billing period in which you remove it or when a move away from Pro takes effect. You may not move to a tier that permits fewer authorized users than your account has, counting pending invitations, until you remove the excess authorized users or invitations. Changes to or from Enterprise, or to or from a tier shown in the Service as "(legacy)", are made by contacting FireDesign.ai rather than in the Service.

Earlier Subscriptions.

If your subscription is on a tier that FireDesign.ai no longer offers for new purchase (shown in the Service as "(legacy)"), or was purchased before FireDesign.ai began offering subscriptions with Usage Charges (in either case, an "Earlier Subscription"), it keeps the terms that applied to it before Usage Charges were introduced, including its fees, allowances, limits, and overage terms, for as long as it remains on the same tier. An Earlier Subscription is not subject to Usage Charges. Where an Earlier Subscription includes unit allowances (for example, sprinkler-head or equivalent unit allowances) and your usage exceeds them, you will be charged for the excess at FireDesign.ai's then-current overage rate for that tier, typically charged in pre-priced usage packages. Overage charges are processed at the time the overage occurs, are non-refundable except as provided in the Refunds section above, and are in addition to, not instead of, the base subscription fee. If you move an Earlier Subscription to a tier described in the Subscriptions & Payments section above, that tier's terms apply from the move, and you may not be able to return to the earlier tier.

Intellectual Property.

All content, features, and functionality of the Service — including software, text, graphics, logos, and trademarks — are the exclusive property of FireDesign.ai, AI Fire Protection Design LLC, or our licensors, and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

User Content.

You retain ownership of any content you submit, upload, or generate using the Service ("User Content"), including floor plans, project files, and outputs. By providing User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display such content solely as needed to operate, secure, and improve the Service. You represent that you have the rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable law.

Prohibited Activities.

You agree not to:

• Use the Service in any way that could disable, overburden, or impair it, or interfere with another user's access
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Upload or transmit viruses, malware, or any destructive code
• Attempt to gain unauthorized access to any account, system, or network
• Use the Service to build or train a competing product
• Violate any applicable law or regulation
• Impersonate any person or entity or misrepresent your affiliation

Professional Responsibility.

FireDesign.ai is a tool that assists fire protection professionals; it is not a licensed engineer. You are solely responsible for verifying, reviewing, and approving any design produced by the Service before it is used for construction, permitting, or any safety-critical purpose. You agree that final designs require review and certification by a licensed professional in accordance with applicable codes, standards, and jurisdictional requirements.

Disclaimer of Warranties.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that the results produced will meet your specific requirements.

Limitation of Liability.

To the fullest extent permitted by law, FireDesign.ai, AI Fire Protection Design LLC, and our affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising from or related to your use of the Service. Our total aggregate liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification.

You agree to indemnify, defend, and hold harmless FireDesign.ai, AI Fire Protection Design LLC, and our affiliates, officers, agents, and employees from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your infringement of any rights of a third party.

Termination.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and provisions of these Terms that by their nature should survive termination will continue to apply.

Governing Law.

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New Jersey, and you consent to the exclusive jurisdiction and venue of those courts.

Changes to These Terms.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you by email or through the platform. Your continued use of the Service after such changes take effect constitutes acceptance of the updated Terms.
